SERVICE.

Clear, plain-language terms governing every Nugro Tech Private Limited engagement - subscriptions, fixed-price projects, and dedicated team arrangements.

Acceptance of terms

-By engaging Nugro Tech Private Limited ('we', 'us', 'our') - whether via a signed proposal, purchase order, online checkout or verbal agreement - you ('Client') agree to be bound by these Terms of Service.

-These terms apply to all service engagements including Fixed-Price Projects, Monthly Subscription plans, and Dedicated Team arrangements.

-We reserve the right to update these terms at any time. Continued use of our services after notice of changes constitutes acceptance.

Services

-Nugro Tech Private Limited provides custom software development services including but not limited to: Shopify development, MERN stack web development, mobile application development (Android, iOS, React Native), SaaS product development, UI/UX design, and DevOps/cloud engineering.

-The specific scope, deliverables, timelines and pricing for each engagement are defined in a separate Scope of Work (SOW) or Statement of Work document, which forms part of this agreement.

-We reserve the right to subcontract elements of any project to trusted engineers within our team. We do not offshore work to unknown third parties.

Payment terms

-All fees are quoted and invoiced in USD unless otherwise agreed in writing.

-Subscription plans are billed monthly or quarterly in advance via Stripe. Fixed-price projects are billed in milestones as defined in the SOW.

-Invoices are due within 14 days of issue. Late payments may incur an interest charge of 1.5% per month on the outstanding balance.

-We reserve the right to pause work on active projects where an invoice remains unpaid beyond 14 days.

Subscription hours & rollover

-Monthly subscription plans include a set number of developer hours per cycle as described on our Pricing page.

-Up to 20% of unused hours roll over to the following cycle. Rolled-over hours expire at the end of that next cycle and cannot be carried further.

-Overage hours beyond your plan allowance are billed at your plan's stated hourly overage rate, or you may upgrade your plan mid-cycle.

-You may pause your subscription once per calendar year for up to 30 days. During a pause, no hours accumulate and no invoice is issued.

Intellectual property & work ownership

-Upon receipt of full payment for a milestone or cycle, all custom code, designs, and deliverables produced for your project are assigned to you. You receive full ownership.

-Nugro Tech Private Limited retains ownership of pre-existing tools, frameworks, libraries, and internal tooling used in the delivery of services. These are licensed to you on a non-exclusive, royalty-free basis for use within the delivered project.

-Any open-source libraries used remain governed by their respective open-source licences.

-You represent that any materials, content or third-party assets you provide to us for incorporation into the project do not infringe any third-party intellectual property rights.

Confidentiality & NDA

-Both parties agree to keep confidential any non-public information received from the other party in connection with the engagement.

-A mutual Non-Disclosure Agreement (NDA) is available upon request and is included by default from our Scale subscription plan upwards. For other plans, NDA signing is available at no extra cost upon written request before project kick-off.

-Confidentiality obligations survive termination of this agreement for a period of three (3) years.

Cancellation & termination

-Subscription clients may cancel at any time. Cancellation takes effect at the close of the current billing cycle. No refunds are issued for partial cycles.

-Fixed-price project clients may terminate the engagement with 14 days written notice. Work completed to date will be invoiced at the agreed milestone rates.

-Either party may terminate immediately for material breach if the breach is not remedied within 7 business days of written notice.

-Upon termination, Nugro Tech Private Limited will provide all completed deliverables and code to the Client within 10 business days.

Warranties & liability

-We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

-We provide a 30-day warranty on all shipped code for post-launch bugs attributable to our work. Bugs caused by third-party API changes, client-side modifications or infrastructure issues outside our scope are excluded.

-To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the total fees paid by the Client in the three months preceding the claim.

-We are not liable for indirect, incidental, consequential or punitive damages, loss of profits, or loss of data.

Governing law & disputes

-These terms are governed by the laws of India. International clients agree that any disputes shall be resolved first through good-faith negotiation, then through binding arbitration under the Indian Arbitration and Conciliation Act, 1996.

-Nothing prevents either party from seeking emergency injunctive relief in any court of competent jurisdiction.
